This acceptable use policy (the "Policy") sets out the general guidelines and the acceptable and prohibited uses of the Tanaqul Precious platform on the web (investor.tanaqul.app), its mobile and tablet version, Tanaqul Explorer (explorer.tanaqul.app), and related services (collectively, the "Services"). This Policy is a legally binding agreement between you (the "User" or "you") and Exit Finance, CR 1010843884, registered with the Ministry of Commerce ("Exit Finance" or "we"). If you use the Services on behalf of a company as the person authorised to manage its account, you confirm that you have the authority to bind it to this Policy, in which case "User" and "you" refer to that entity. If you do not have such authority, or if you do not agree to the terms of this Policy, you must not accept this Policy and you may not access or use the Services. By accessing and using the Services, you acknowledge that you have read, understood and agreed to be bound by the terms of this Policy. You acknowledge that this Policy is a contract between you and Exit Finance, even though it is electronic and has not been signed by you in writing, and that it governs your use of the Services.
Prohibited activities and uses
You may not use the Services to publish content or engage in activity that is unlawful under the applicable law in the Kingdom of Saudi Arabia, that harms others, or that would expose us to liability, including, without limitation, in connection with any of the following, each of which is prohibited under this Policy:
- Distributing malware or other malicious code.
- Disclosing sensitive personal information about others.
- Collecting, or attempting to collect, personal information about third parties without their knowledge or consent.
- Distributing pornography or adult-related content.
- Promoting or facilitating prostitution or any escort services.
- Hosting, distributing or linking to child pornography or content that is harmful to minors.
- Promoting or facilitating gambling, violence, terrorist activities, or the sale of weapons or ammunition.
- Engaging in the unlawful distribution of controlled substances, smuggled drugs or prescription medicines.
- Running a community or payment intermediaries, such as processing payments on behalf of other businesses or charities.
- Facilitating pyramid schemes or other models intended to obtain payments from public or private bodies.
- Threatening harm to persons or property, or otherwise harassing behaviour.
- Testing credit cards or other available payment methods, manually or automatically, using robots or scripts.
- Buying or selling on behalf of another person, except through the accounts that the platform allows to be managed on behalf of others (company accounts, and accounts managed under a power of attorney or guardianship).
- Offering, or fraudulently representing, misleading products or services.
- Infringing the intellectual property or other proprietary rights of others.
- Using another person's identity, account or bank account, or enabling another person to use your account.
- Depositing in the vault metals that you do not own or that are of unknown origin.
- Money laundering, terrorist financing or sanctions evasion.
- Facilitating, assisting or encouraging any of the activities listed above through the Services.
System abuse
Any user who violates the security of the platform is subject to criminal and civil liability, as well as to the immediate banning of their account. Examples include, but are not limited to, the following:
- Using or distributing tools designed to compromise the security of the platform.
- Intentionally or negligently transmitting files that contain a computer virus or corrupted data.
- Accessing another network without permission, including probing for vulnerabilities or breaching security or authentication measures.
- Scanning or monitoring data on any network or system without appropriate permission from the owner of the system or network.
Service resources
You may not consume the platform's resources in excessive amounts, or use the Services in any way that causes performance problems or interrupts the Services for other users, and we limit the number of certain repeated requests to protect the Services. Prohibited activities that contribute to excessive use include, without limitation:
- Deliberate attempts to overload servers, and cyber attacks (that is, denial-of-service attacks).
- Engaging in any other activities that degrade the usability and performance of the platform.
No spam policy
You may not use the Services to send unsolicited messages, individually or in high volumes. We maintain a zero-tolerance policy on the use of the Services in any manner associated with the transmission, distribution or delivery of any bulk email, including unsolicited commercial email, or sending, assisting in or commissioning the transmission of commercial email that does not comply with the Telecommunications and Information Technology Law issued by Royal Decree No. (M/106) dated 2/11/1443H.
Your products or services advertised via SPAM (that is, Spamvertised) may not be used in conjunction with the Services. This provision includes, but is not limited to, SPAM sent by fax, telephone, postal mail, email, instant messaging or newsgroups.
Defamation and objectionable content
The Services do not allow users to publish content to the public. What you send us — such as support requests, and the documents you attach to your requests — must be true and free of any abuse or defamation. Nevertheless, we reserve the right to edit, disable or remove any content to prevent harm to others, to us or to the Services, at our sole discretion.
Copyrighted content
Copyrighted material may not be published through the Services without the express permission of the copyright owner or of a person expressly authorised by the copyright owner to grant such permission. On receiving a claim of copyright infringement, or a notice of such infringement, we will promptly carry out a full investigation. However, we generally require a court order from a competent court, as we determine in our sole discretion, to remove the allegedly infringing material from the Services. We may ban the accounts of users who commit repeated copyright infringements, and the Intellectual Protection Policy explains how to submit a complaint. Other measures may be taken if necessary. We will not be liable to any user of the Services for removing any such material. If you believe that your copyright is being infringed by a person or persons using the Services, please contact us to report the copyright infringement.
Security
You are fully responsible for maintaining the security precautions associated with your account. You are responsible for protecting and updating your sign-in user information. You must protect the confidentiality of your sign-in details and of the verification codes sent to you and not share them with anyone, and you must change your password periodically. You can enable two-factor authentication from the platform settings.
Enforcement
We reserve our right to be the sole arbiter in determining the seriousness of each violation and to take corrective action immediately, including, without limitation:
- Suspending or banning your account, with or without notice, for any violation of this Policy. You can sign in to a suspended account and view your holdings in it, without carrying out any transaction, until the suspension is lifted, whereas a banned account cannot be accessed.
- Disabling or removing any content prohibited under this Policy, including to prevent harm to others, to us or to the Services, at our sole discretion.
- Reporting violations to law enforcement authorities at our sole discretion.
- Failure to respond to our enquiries about a violation within two days, or within the period set in our message to you, may result in the suspension or banning of your account.
An account banned for violations is not reactivated, and its holder may not register again. In all cases, your metals registered in your name remain your property, and we do not sell them.
Nothing in this Policy shall be construed as limiting in any way our actions or remedies with respect to any of the prohibited activities. We reserve the right to take any additional actions we consider appropriate with respect to these activities, including, without limitation, claiming the costs and expenses of identifying violators and removing them from the platform in accordance with the law. In addition, we reserve at all times all rights and remedies available to us with respect to these activities under the law or in equity.
Reporting violations
If you discover a violation of this Policy and wish to report it, write to us immediately at Policy@exit.sa. We will investigate the situation and provide you with full assistance.
Changes and amendments
We reserve the right to modify this Policy or its terms relating to the Services at any time at our discretion. When we do, we update the "Last updated" date at the top of this page. A change takes effect from the date it is published; however, we notify you of a material change within the platform before it takes effect. Your continued use of the Services after the effective date of the revised Policy (or any other action specified at that time) will constitute your consent to those changes.
Acceptance of this Policy
You acknowledge that you have read this Policy and agree to all its terms and conditions. By accessing or using the Services, you agree to be bound by this Policy. If you do not agree to be bound by the terms of this Policy, you are not entitled to access or use the Services.
